Additional Terms for Organization Accounts

These Organization Owner Supplemental Terms ("Supplemental Terms") apply when you create an Organization (also referred to as a "Team" in the Service interface) within the Oxygen AI Positron Service. These Supplemental Terms supplement and form part of the Terms of Service that you have already accepted.

By creating an Organization, you are accepting these additional responsibilities and obligations beyond those of an individual user. These Supplemental Terms clarify your role, authority, responsibilities, and liabilities as an Organization Owner.

In case of any conflict between these Supplemental Terms and the general Terms of Service, these Supplemental Terms shall prevail for all matters specifically related to Organization accounts and your role as Organization Owner.

1. Your Authority and Legal Responsibility

1.1 Authority to Create Organization. You represent and warrant that you have legal authority to create this Organization and bind the entity you represent to these terms. If you are creating an Organization for a company, you confirm you have express written authority from that company to enter into binding agreements and make financial commitments on its behalf. If you create an Organization without proper authority, you may be personally liable for all obligations.

1.2 Liability for Member Actions. You and your Organization are fully responsible for all actions taken by Organization Members when using the Service. If any member violates these Terms, the Acceptable Use Policy (section 7 from Terms of Service), or applicable laws, you and the Organization can be held liable. This includes potential legal claims, regulatory penalties, and account suspension or termination. You are responsible for ensuring all members understand and comply with applicable terms and laws.

1.3 Organization Name and Representation. You agree that the name you choose for your Organization will not: infringe upon the trademark, service mark, or other intellectual property rights of any third party; impersonate another company or entity; or contain offensive, inappropriate, or misleading content. You represent that you have the right to use the Organization name you have chosen and that such use will not violate any third-party rights.

2. Financial Commitments

2.1 Payment for All Members. By creating an Organization, you commit to paying subscription fees for all confirmed Organization Members. Charges begin when you confirm a membership request and continue on a recurring basis until you remove the member or terminate the Organization account. Charges are automatic and continue regardless of whether individual members actively use the Service.

2.2 No Refunds. Subscription fees are billed in advance and are non-refundable. If you remove a member or terminate your Organization during a billing period, you will not receive a refund for the unused portion of that period. Charges stop only at the end of the current billing period.

2.3 Your Responsibility to Manage Membership. You must actively manage your Organization membership to control costs. To stop being charged for a member, you must remove them through the Service interface. Members who should no longer have access (such as former employees) must be removed promptly.

3. Invitation and Membership Process

3.1 How Invitations Work. You can invite people to your Organization using generic invitation links. These links can be accessed by anyone who possesses them. When someone accesses a link, they create a Pending Membership Request that you must review. The person becomes a member only after you explicitly confirm their request, and charges begin at that moment.

3.2 Your Responsibilities. You agree to distribute invitation links carefully and only to intended recipients. Do not post links publicly or share them where unauthorized people could access them. You must regularly review Pending Membership Requests and promptly confirm or reject them. You should only confirm individuals you genuinely intend to add and for whom you are willing to pay subscription fees.

3.3 Consequences of Careless Distribution. If you confirm someone by mistake, you will be charged for at least the full billing period in which the confirmation occurred, with no refund. If your careless link distribution creates excessive burden on our systems, we may suspend your invitation privileges.

4. Data Protection Obligations

4.1 Your Role as Data Controller. Under data protection laws (including GDPR, UK DPA, and CCPA), when you invite and confirm Organization Members, you become a data controller for their personal data (names and email addresses). You must comply with all applicable data protection laws. The Data Processing Agreement governs these obligations and is incorporated into these terms by reference.

4.2 Informing Members. Before or when you invite individuals to your Organization, you must inform them that their personal data will be processed by you and Syncro Soft for Organization membership and billing purposes, that you will have access to their name and email, that you are paying their subscription, that they have rights under data protection law (including the right to request deletion), and that requesting deletion will automatically remove them from your Organization.

4.3 Lawful Basis for Processing. You must have a lawful basis under data protection law for processing member personal data. This is typically consent (they explicitly agree to join), legitimate interests (in employment contexts where Organization membership is for work purposes), or contractual necessity (where membership is part of an employment or service agreement). You are responsible for determining and satisfying your lawful basis.

5. Managing Members

5.1 Adding and Removing Members. You can confirm Pending Membership Requests to add members and can remove members at any time through the Service interface. When you remove a member, they immediately lose access to Organization-specific features and you stop being charged after the current billing period ends. Removed members retain their individual accounts but are no longer part of your Organization.

5.2 Member-Initiated Departure. Members can leave your Organization voluntarily. If they do, effects are the same as if you removed them. You should respect voluntary departure requests, you should not prevent members from leaving if they genuinely wish to do so.

6. Termination

6.1 Your Right to Terminate. You can terminate your Organization account at any time through the Service interface or by contacting . All members will immediately lose Organization access. You will not receive refunds for prepaid fees but will not be charged beyond the current billing period.

6.2 Our Right to Terminate. We can suspend or terminate your Organization account at any time for violations of terms, payment issues, fraudulent or illegal use, or if continuing service would create legal liability or harm other users. When we terminate your account, you remain obligated to pay all outstanding fees and remain liable for violations that occurred before termination.

6.3 Survival. Termination does not eliminate your liability for obligations that arose before termination, including unpaid fees and liability for past violations. Provisions regarding liability, indemnification, confidentiality, and dispute resolution survive termination.

7. Updates to These Terms

7.1 We may update these Supplemental Terms from time to time. We will notify you by email and post updated terms on our website. If you do not agree with changes, you may terminate your Organization account. Continued use after changes take effect means you accept the updated terms.

ACCEPTANCE

By clicking "I Accept and Create Organization" or "Create Team," you acknowledge that you have read and understood these terms and that you:

  • Have legal authority to create this Organization and bind the entity you represent.
  • Accept financial responsibility for paying subscription fees for all confirmed Organization Members.
  • Understand the invitation process and your responsibilities for managing membership.
  • Accept your data protection obligations as a data controller for member personal data.
  • Accept that you and your Organization are liable for all Organization Member actions.
  • Agree to comply with these Supplemental Terms, the Terms of Service, the Data Processing Agreement, and all other applicable policies.

These Supplemental Terms, together with the Terms of Service and Data Processing Agreement, constitute a binding legal agreement between you (and the entity you represent) and Syncro Soft SRL.

If you do not agree, do not create an Organization. You may continue using the Service as an individual user.
